Welcome to Stellar EMS. By subscribing to or using the Stellar Education Management System (EMS) software-as-a-service platform, portals, and websites (collectively, the "Service"), you agree to be bound by these Terms of Service (the "Terms"). The Service is operated and owned by Stately Technologies ("we", "our", or "us"), a technology company registered and based in Accra, Ghana.
Please read these Terms carefully before using the Service. If you are entering into these Terms on behalf of an educational institution (a school), you represent that you have the authority to bind that institution to these Terms.
1. Subscription Services & Portal Accounts
- Account Registration: Subscribed schools are issued unique administrative credentials. Administrators are responsible for establishing user profiles for their staff, accountants, teachers, parents, and students.
- Credential Responsibility: Each school and its authorized users are responsible for preserving the confidentiality of their passwords. Any actions or modifications performed inside a school's database using valid user credentials will be considered authorized by the subscribing institution.
- Access Control: Subscribed schools must ensure that logins (including Student Admin, Parent, Teacher, and Attendance logins) are allocated in accordance with the staff member’s designated duties.
2. Fees, Billing, and Renewals
- Billing Tiers: Stellar EMS is billed on a recurring subscription basis (typically per term or annually), depending on the package agreement (Starter, Standard, or Premium plans) and student enrollment scale.
- Payments: All payments must be made in Ghana Cedis (GHS) or as specified in your service agreement. We accept bank deposits, corporate cheques, and mobile money (MoMo) payments.
- Suspension for Non-Payment: If an invoice remains unpaid for more than fifteen (15) days beyond the term start date, we reserve the right to temporarily suspend access to the administrative dashboard, portals, and SMS services until the balance is paid.
- SMS Allowances: SMS alert allotments and gateways are subject to fair use limits as defined in your school's custom plan structure.
3. Customer Data & System Compliance
- Ownership of Data: The school retains full ownership and control over all student registers, grade reports, accounting files, and guardian records uploaded to the system. Stately Technologies asserts no copyright or intellectual ownership over school-submitted content.
- Data Integrity: Schools are solely responsible for ensuring the accuracy, legality, and propriety of the data uploaded to the system, including correct exam scores, student names, and contact numbers.
- Compliance with GES: Stellar EMS features terminal report templates and BECE grading configurations aligned with Ghana Education Service (GES) directives. However, subscribing schools must verify that final grading configurations and sign-off flows meet their specific regional education directorate's guidelines.
4. Acceptable System Use
Schools, teachers, parents, and administrators agree not to use the Stellar EMS platform to:
- Transmit, broadcast, or upload inappropriate, offensive, or unlawful content.
- Attempt to bypass security locks, perform unauthorized scans, or launch distributed denial of service (DDoS) requests against our cloud servers.
- Impersonate other educational institutions or utilize bulk SMS functions to broadcast unrelated commercial spam or political messaging.
5. Intellectual Property
The Service, including the source code, user interface designs, logos, software architectures, graphics, stylesheets, databases, and proprietary integrations, remains the exclusive property of Stately Technologies. Users are granted a limited, non-transferable, and non-exclusive license to use the system solely for their designated educational operations during an active subscription term.
6. Service Levels & Warranties
- Platform Uptime: We aim to maintain a 99.9% availability average for all portal logins, backups, and dashboards. However, access may be briefly interrupted for scheduled database optimization or security patching, which will typically be scheduled outside of regular school hours.
- Platform Support: Technical support is available via phone and email from Monday through Friday, 9:00 AM to 5:00 PM GMT, excluding statutory public holidays in Ghana.
- Disclaimer: The platform is provided "as is". While we implement multiple safety nets, Stately Technologies does not warrant that the Service will be completely error-free or uninterrupted under extreme infrastructure network outages in local cellular networks.
7. Termination and Contract End
Either party may terminate an active subscription by providing at least thirty (30) days' written notice before the end of the current academic term. Upon subscription termination, we will provide the school with an export copy of their student, financial, and academic databases, after which all school instances on our live databases will be permanently archived or deleted.
8. Governing Law
These Terms of Service and any contractual disputes arising therefrom shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any legal action or proceeding relating to the platform shall be brought before a competent court in Accra, Ghana.
